Terms of Service

These Terms of Service (“Terms”) govern access to and use of the CareSense website, applications, and services (collectively, the “Service”) provided by MedTrak, Inc. (“MedTrak,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. The Service

CareSense is a care-management and data-collection platform that enables healthcare organizations to deliver patient education and reminders, collect patient-reported outcomes and satisfaction data, and report on clinical quality measures. The Service is made available to healthcare organizations (“Customers”), their authorized personnel (“Users”), and the patients they invite to participate (“Patients”).

2. Relationship to Customer Agreements

Use of the Service by a Customer and its Users is also governed by the written agreements between MedTrak and that Customer, including any Software License Agreement, services agreement, and Business Associate Agreement (collectively, “Customer Agreements”). If these Terms conflict with a Customer Agreement, the Customer Agreement controls for that Customer and its Users and Patients.

3. Not Medical Advice; No Emergency Use

The Service delivers content and collects information on behalf of your healthcare provider. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for professional medical judgment. Do not use the Service to communicate urgent or emergency medical situations. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. Responses submitted through the Service may not be reviewed in real time.

4. Accounts and Access

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly at info@caresense.com if you suspect unauthorized use of your account. We may suspend or disable accounts that present a security risk or violate these Terms.

5. Acceptable Use

You agree not to: (a) access data or accounts you are not authorized to access; (b) probe, scan, or test the vulnerability of the Service without our prior written authorization; (c) interfere with or disrupt the Service; (d) introduce malicious code; (e) use the Service to violate any applicable law, including HIPAA and other privacy laws; (f) resell or sublicense the Service except as permitted in a Customer Agreement; or (g) use automated means to scrape or harvest data from the Service.

6. Protected Health Information

The Service processes protected health information (“PHI”) on behalf of Customers in accordance with HIPAA and the applicable Business Associate Agreement. Our collection, use, and protection of personal information are described in our Privacy Policy, and an overview of our security practices is available on our Security page.

7. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by MedTrak or its licensors and is protected by intellectual property laws. Subject to these Terms and any applicable Customer Agreement, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. Customers retain all rights in the data they and their Patients submit to the Service.

8. Confidentiality

Non-public information made available through the Service, including another party’s patient data, pricing, and documentation, must be held in confidence and used only as necessary to use or provide the Service.

9. Availability and Modifications

We work to keep the Service available and secure, but the Service is provided on an “as available” basis and may be interrupted for maintenance, updates, or events beyond our reasonable control. We may modify or discontinue features of the Service; where a change materially reduces functionality committed in a Customer Agreement, the terms of that agreement control.

10. Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN A CUSTOMER AGREEMENT, THE SERVICE IS PROVIDED “AS IS” AND MEDTRAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDTRAK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR PROFITS, ARISING OUT OF OR RELATED TO USE OF THE SERVICE. WHERE A CUSTOMER AGREEMENT SPECIFIES A LIABILITY CAP, THAT CAP CONTROLS. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

12. Termination

We may suspend or terminate access to the Service for violation of these Terms or as provided in the applicable Customer Agreement. Provisions that by their nature should survive termination (including Sections 7, 8, 10, 11, and 13) survive.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules, except where a Customer Agreement specifies otherwise.

14. Changes to These Terms

We review these Terms at least annually and may update them from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date, and material changes will be noted on www.caresense.com. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
